No sale, no price: the value has to be established

When intellectual property moves from one entity to another in the same group, there is no buyer and no negotiated price. The value has to be established, and it has to stand up if it is reviewed later. Sherwood Australia prepares AFSL-licensed, fully documented valuations of software, IP and intangible assets for restructures and related-party transfers.

A transfer between related entities is not an arm's-length sale. Nobody has bid for the asset, so the figure used in the transfer documents is only as strong as the work behind it.

Software and IP are also the assets least suited to a rule of thumb. Much of it has never been sold, licensed or separately recorded, and often it earns no revenue of its own. That is why we select the valuation method case by case, based on the asset, the evidence available and the purpose of the transfer.

Our reports set out the asset, the valuation date and every assumption, so the value can be explained and defended by you and by your advisers.

Working with your accountant or lawyer

We regularly prepare transfer valuations alongside a client's accountant, tax adviser or lawyer. They design the structure and advise on its consequences; we provide the independent market value it relies on. Sherwood Australia is not a tax adviser, and our valuation reports are not tax or legal advice. See also IP valuation, pre-revenue and R&D-stage IP and valuations for tax and CGT.
