Business Valuation for Joint Ventures

When two parties pool a business, the split is only as fair as the numbers behind it.

A joint venture works when each party knows exactly what they are putting in and what it is worth. Sherwood Australia prepares independent, AFSL-licensed valuations of the businesses, assets, and intellectual property that go into a JV — so the equity split, buy-in, and exit terms are grounded in defensible value rather than negotiation alone.

  • ✓ AFSL Licence No. 563351 — legally compliant equity valuations
  • ✓ AVI Certified Business Valuer (AVI 20281) — prepared to APES 225 and International Valuation Standards
  • ✓ Independent of every party to the venture
  • ✓ Report turnaround typically within 10 business days
  • ✓ Confidential, obligation-free initial discussion

The split is set by what each side actually contributes

Joint ventures rarely fail on the idea. They fail when the parties never agreed what each contribution was worth — a going business, a customer base, a technology, capital, or a licence.

An independent valuation puts a defensible number on each side of the table before the shareholders' or JV agreement is signed. It sets the equity split, the price of a later buy-in or buy-out, and the mechanism for valuing the venture if a party exits.

Because Sherwood is independent of every party, the number holds even when interests diverge later on.

Where a valuation makes the difference

Setting the equity split

Valuing each party's business, assets, and IP so the ownership percentages reflect real contributed value.

Contributed IP & technology

Independent valuation of the intellectual property or technology one party brings to the venture.

Buy-in and buy-out

An agreed basis for pricing a new partner in, or an existing party out, as the venture matures.

Exit & dissolution

A valuation mechanism for the day a party wants out — or the venture is wound down and split.

How it works

Step 1 — Confidential briefing

We discuss the venture, the parties, and what each is contributing — and confirm our independence.

Step 2 — Information & instructions

We gather the financials and documents for each contributed business, asset, or technology.

Step 3 — Analysis & report

We value each contribution on a consistent basis and document the reasoning in full.

Step 4 — Support to agreement

We explain the findings and support the parties through to a signed, fairly-priced deal.
