Independent Expert Reports & Fairness Opinions

When a transaction has to be seen to be fair, you need a genuinely independent expert.

Related-party transactions, shareholder decisions, and contested deals often require an independent opinion on whether the terms are fair and reasonable. Because it holds an AFSL, Sherwood Australia can prepare independent expert reports and fairness opinions to the principles the market expects — most advisers can't.

  • ✓ AFSL Licence No. 563351 — the licence an independent expert report requires
  • ✓ AVI Certified Business Valuer (AVI 20281) — prepared to APES 225 and International Valuation Standards
  • ✓ Reports aligned with ASIC RG 111 / RG 112 principles of independence and fairness
  • ✓ Genuinely independent — no interest in the outcome
  • ✓ Confidential, obligation-free initial discussion

Why the AFSL matters here

An independent expert report exists to protect the people who aren't at the negotiating table — minority shareholders, a board, or a counterparty relying on the terms being fair. For that protection to mean anything, the expert has to be independent and appropriately licensed.

Accountants and general advisers can't provide it: an opinion on the fairness of a transaction involving securities sits within AFSL-regulated territory. Sherwood holds AFSL 563351, so we can prepare the report — and stand behind it.

Our reports are prepared in line with the independence and fairness principles set out in ASIC's Regulatory Guides 111 and 112.

When an independent expert report is needed

Related-party transactions

Where a transaction involves a director, a substantial holder, or an associated entity and must be shown to be fair to other shareholders.

Buy-outs & selective capital reductions

Minority buy-outs, share cancellations, and reductions that require an opinion on fair value.

Mergers & scheme-style transactions

Combinations where the parties, a board, or shareholders need an independent view on whether the terms are fair and reasonable.

Disputes & decision support

A fairness opinion to support a board decision or resolve a contested transaction without litigation.

What's included in an independent expert report

Independent opinion

A clear, reasoned conclusion on whether the transaction is fair and reasonable — or an assessed range of fair value.

Every assumption and input stated and justified, prepared to APES 225 and RG 111/112 principles.

Comparable market analysis

Objective market evidence and comparable transactions underpinning the valuation.

Report for its audience

Calibrated for the board, shareholders, or counterparty who will rely on it — and able to withstand challenge.

Step 2 — Information & instructions

We gather the terms, financials, and documents relevant to the opinion.

Step 3 — Analysis & report

We assess fair value and the fairness of the terms, documented to withstand scrutiny.

Step 4 — Delivery & support
